The client is responsible for providing accurate and complete requirements, content, documents, credentials, access, approvals, and other information reasonably required to complete the project.
Changes to approved requirements may result in:
- Additional development time
- Additional charges
- Changes to the delivery schedule
- Changes to project scope
Any significant change in requirements may be treated as additional work and may require separate approval or quotation.
5. Project Timeline
Project timelines are estimates based on the requirements and information available at the time of estimation.
Delays may occur due to:
- Changes in requirements
- Delayed client approvals
- Delayed content or data
- Third-party API or service issues
- Payment delays
- Hosting or infrastructure issues
- Technical dependencies
- Force majeure events
NBUnify will make reasonable efforts to complete projects within the agreed timeline.
6. Client Responsibilities
The client agrees to:
- Provide accurate requirements
- Provide required content and data
- Provide timely approvals and feedback
- Provide required third-party accounts or access
- Ensure that supplied content is legally permitted to be used
- Make payments according to the agreed payment schedule
- Review and approve deliverables within a reasonable period
NBUnify shall not be responsible for delays caused by information, approvals, access, or dependencies controlled by the client.
7. Pricing and Payments
Project pricing will be communicated through a quotation, proposal, invoice, work order, or service agreement.
Unless otherwise agreed:
- Payments must be made according to the agreed payment schedule.
- Taxes, including applicable GST, may be charged separately where applicable.
- Third-party charges may be billed separately.
- Additional requirements may incur additional charges.
- Delayed payments may result in suspension of development or support services.
Examples of third-party charges may include:
- Domain registration
- Web hosting
- Cloud services
- SMS
- WhatsApp services
- Payment gateway charges
- Email services
- Maps/API services
- App-store fees
- Licensed software
- Other external services
8. Intellectual Property
Unless otherwise agreed in writing, NBUnify retains ownership of its:
- Pre-existing software
- Frameworks
- Libraries
- Reusable components
- Development tools
- Templates
- Internal systems
- Generic code components
- Technical methodologies
- Know-how
Ownership or licensing of custom-developed project deliverables will be governed by the applicable client agreement, quotation, or written contract.
Third-party software, open-source libraries, APIs, fonts, plugins, and other third-party components remain subject to their respective licences and terms.
9. Client Content and Data
The client remains responsible for the legality, accuracy, ownership, and authorised use of content and data supplied to NBUnify.
The client must ensure that it has the necessary rights, permissions, licences, and consents to provide such information to NBUnify for project purposes.
NBUnify will not knowingly use client data for purposes outside the agreed scope, except where required by law or necessary to provide the contracted service.
10. Confidentiality
Both parties may receive confidential business, technical, financial, operational, or other information during a project.
Each party agrees to take reasonable steps to protect confidential information and not disclose it to unauthorised third parties except:
- With the other party's permission
- To authorised employees or service providers who need the information
- Where required by law
- Where the information has become publicly available through no fault of the receiving party
Additional confidentiality obligations may be established through a separate NDA or agreement.
11. Hosting and Third-Party Services
Where NBUnify provides hosting, domain, cloud, email, API, payment gateway, or other third-party services, such services may be subject to the terms and policies of the respective service providers.
NBUnify cannot guarantee uninterrupted availability of third-party services.
Third-party outages, policy changes, API changes, service termination, pricing changes, or infrastructure problems may affect the availability or functionality of an application.
12. Software Maintenance and Support
Maintenance and support services, where applicable, will be provided according to the selected support or AMC plan.
Support plans may define:
- Support hours
- Response times
- Bug-fix scope
- Maintenance activities
- Server monitoring
- Backup services
- Security updates
- Feature enhancement limitations
New functionality or major changes may be treated as additional development work.
13. Warranty and Bug Fixes
NBUnify will make reasonable efforts to correct reproducible software defects that fall within the agreed project scope.
A bug does not generally include:
- New functionality requests
- Changes in business requirements
- Changes to third-party APIs
- Problems caused by unauthorised modifications
- Problems caused by third-party hosting or infrastructure
- Problems caused by incorrect client data
- Problems caused by unsupported software or environments
Any warranty or post-delivery support period will be as specified in the applicable quotation or agreement.
14. Availability and Service Interruptions
We aim to provide reliable services but do not guarantee that our website, applications, servers, or services will always be available without interruption.
Services may temporarily become unavailable due to:
- Scheduled maintenance
- Emergency maintenance
- Hosting problems
- Network failures
- Security incidents
- Third-party service interruptions
- Natural disasters
- Government actions
- Other circumstances beyond our reasonable control
15. Limitation of Liability
To the maximum extent permitted by applicable law, NBUnify shall not be liable for indirect, incidental, special, consequential, or business losses arising from the use or inability to use our website, software, or services.

Where a specific project agreement contains a different limitation of liability, that agreement will govern the relevant project.

16. Data Backup
Where the client is responsible for hosting or data management, the client should maintain appropriate backups of its information.
Where backup services are specifically included in an NBUnify service agreement, backups will be performed according to the agreed backup policy.
NBUnify cannot guarantee recovery of every item of data in every circumstance.
17. Third-Party Content and Links
Our website may contain links to third-party websites or services.
Such links are provided for convenience and do not imply that NBUnify endorses or controls those websites.
We are not responsible for third-party content, availability, security, privacy practices, or services.
18. Testimonials and Portfolio
Where permitted by the applicable client agreement, NBUnify may display project names, screenshots, logos, descriptions, or testimonials in its portfolio, website, presentations, or marketing material.
If a project is subject to confidentiality restrictions, NBUnify will respect those restrictions.
19. Suspension or Termination
NBUnify may suspend or terminate access to a service where:
- Payments remain overdue
- The service is being misused
- There is unauthorised access or activity
- The client breaches applicable terms
- Continuing the service would create a legal or security risk
Termination of a service does not automatically eliminate payment obligations that have already become due.
Project-specific termination and refund provisions will be governed by the applicable agreement or quotation.
20. Force Majeure
NBUnify shall not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, civil disturbances, government actions, internet or telecommunications failures, major infrastructure failures, cyber incidents, labour disruptions, or failures of third-party service providers.
21. Changes to These Terms
NBUnify may update these Terms & Conditions from time to time.
Updated terms will be published on this website with a revised "Last Updated" date.
Your continued use of the website or applicable services after an update may constitute acceptance of the revised terms, subject to applicable law and any separate contractual agreement.
22. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by the laws applicable in India.
Subject to applicable law and any specific agreement between NBUnify and a client, disputes arising from these Terms & Conditions shall be subject to the jurisdiction of the competent courts having jurisdiction over Thane, Maharashtra, India.
